We have created an online legal portal to provide visitors with a general understanding of the law and to provide an automated and manually reviewed legally software solution to individuals who choose to prepare their own legal documents.

Please read these terms and conditions of service carefully before using our service as these terms and conditions of service (the “Terms and Conditions of Service”) govern the use of response.Simple.com (the “Site”). By using this Site, you indicate that you have read and understood the Terms and Conditions of Service and agree to abide by them at all times.

By using response.Simple., you acknowledge that you understand the limitations of the Site and that you are accessing all information for the purpose of asserting your own legal rights and for the creation and serving of a response to a demand letter only.

• Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
• Impersonating any person or entity including the Company and its employees or representatives.
• Violating the privacy of any third person.
• False information and features.

response.Simple. reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any content is appropriate and reserves the right to modify any content, to limit access, suspend or terminate your access to our Site at its sole discretion. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

Accounts

When you create an account on our Site, you agree to the following:

1. response.Simple. will under no circumstances be liable in any way for any content provided by you on our Site.
2. You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account.
3. All personal information you provide to us through your account is up to date, accurate and truthful. You further agree that you will update your personal information if it changes.
4. response.Simple cannot provide any guarantee that there will be no loss or corruption of data and in the event that there is a loss or corruption of data, you agree that response.Simple has no liability for this.
5. You agree not to impersonate any person or entity, or falsely state or otherwise misrepresent their affiliation with a person or entity.
6. You will not post any materials that infringes on a copyright or intellectual property of any person. You will be accountable for any costs and attorney fees incurred by response.Simple. due to your infringement of another’s copyright.
7. You are prohibited from creating multiple accounts unless expressly authorized by response.Simple. Each account must be associated with a unique email address.
8. By submitting information to us, whether under Individual or Enterprise licensing, response.Simple. is granted a perpetual royalty free, irrevocable worldwide, non-exclusive license to use, copy, modify, display, upload, distribute, store and disclosure such information in any matter we deem fit, on a confidential basis. This may include the operation and improvement of our services and for the creation of new products.
9. You acknowledge and agree that response.Simple. may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of response.Simple. staff, its users and the public.
10. You acknowledge that response.Simple. may retain user data for a reasonable period of time for backup, archival, or audit purposes. response.Simple. may also establish general practices and limits concerning use of the Site, including without limitation, the maximum period of time that data or other content will be retained by the Site and the maximum storage space allocated on response.Simple. servers on your behalf. You agree that response.Simple. has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to or by the Site. You acknowledge that response.Simple. reserves the right to terminate accounts that are inactive for an extended period of time. Such period of time shall be determined by response.Simple. in its sole discretion.
11. All services will be paid for in full when the services are ordered. The content and services on the Site are sold on an “as is” basis and there is a no refund.
12. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purpose, any portion of the Site or content provided, the use of the Site or access to the Site.
13. You agree that your reading, removal, download, addition or modification of any content on the Site shall only be performed through the interface and processes provided by response.Simple.
14. You acknowledge that certain materials on the response.Simple. site, including but not limited to questionnaires, documents, instructions, and filings, are only available in English. Non-English translations of these Terms, as well as other terms, conditions, and policies, are provided for convenience only. In the event of any ambiguity or conflict between translations, the English version is authoritative and controls.
15. By using response.Simple. you consent to affix your electronic signature where required to file your documents. You understand that you may withdraw your consent, provided your documents have not already been filed.
16. You acknowledge that response.Simple at its sole discretion, may offer SMS/text message-based programs.

Availability and Access

We will use reasonable means to ensure that the Site is available 24 hours a day, 7 days a week. There will be times when the Site is interrupted for maintenance, upgrades and repairs or as a result of telecommunications and equipment failure that are beyond our control. We will take steps to minimize such disruption where it is within our control. You agree that response.Simple will not be liable to you for any modification, suspension, discontinuance, or lack of access and/or availability of the Site.

You are responsible for obtaining access to the Site and for the equipment required to achieve this. To do so may also require the involvement of third parties (such as Internet Service Providers). You are responsible for all fees charged by third parties in this regard.

response.Simple. reserves the right at any time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that response.Simple. shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site.

Changes to these Terms

response.Simple. may from time to time and in its sole discretion amend the Terms and Conditions of Service or Privacy Policy by publishing amendments on Response.Simple.com. The most current version of the Terms will supersede all previous versions. response.Simple has no obligation to bring any amendment to your attention in order for the amendment to be effective. Use of the Site after the amendment constitutes acceptance of the amended version.

Consumer Protection Law

Where the Consumer Protection Act of Alberta, or any other consumer protection legislation applies and cannot be excluded, these Terms and Conditions of Service will not limit your legal rights and remedies under that legislation. These Terms and Conditions of Service will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions of Service and that legislation, the mandatory provisions of the legislation will apply.

Disputes Resolution

You must first present any claim or dispute to us by contacting our customer service and allowing response.Simple. an opportunity to resolve the dispute. You may request confidential, binding arbitration if your claim or dispute cannot be resolved within 60 days. Unless mutually agreed upon by you and response.Simple., the place of arbitration will be within Calgary, Alberta, Canada and conducted in English. The arbitration of any dispute or claim shall be conducted in accordance with the ADR Institute of Canada, Inc. (http://www.adrcanada.ca/).

All administrative fees and expenses of an arbitration will be divided equally between you and response.Simple. In all arbitrations, each party will bear the expense of its own counsel, experts, witnesses, preparation and presentation of evidence at the arbitration.

If for any reason this clause is deemed inapplicable or invalid, you and response.Simple. both waive, to the fullest extent allowed by law, any claims to recover punitive or exemplary damages and any right to pursue any claims on a class or consolidated basis or in a representative capacity.

Email Communication and Referrals

By signing up for response.Simple, users agree to receive email communications from us and affiliated partners. These communications may include updates about our services, promotional offers, and referral requests. We reserve the right to send referral emails to users, and users may opt-out of such communications at any time by following the unsubscribe instructions included in the emails.

Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada. All legal proceedings respecting the Agreement must be brought in such courts, to whose jurisdiction you irrevocably attorn. response.Simple. may commence legal proceedings in other jurisdictions to enforce a judgment, order or decree originally granted by a court.

Intellectual Property

All content published and made available on our Site is the property of response.Simple. and the Site’s creators. This includes, but is not limited to, images, audio files, video files, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

All rights not expressly granted to users in these Terms of Service are reserved by response.Simple and its licensors. Users acknowledge that they do not acquire any ownership rights by using the Service or by accessing any content posted on the Service.

Licensing

Individual Licensing

Individual licensing grants a single user the right to access and use the response.Simple platform. This license is non-transferable and is intended to be for personal use only. The individual user may generate documents and content using the Site for their own personal, non-commercial use.

Enterprise Licensing

Enterprise licensing provides access to multiple users within an organization. This license allows for the collective use of the Site by the organization’s employees and authorized agents. The enterprise license includes features and functionalities designed to support business operations and may include additional administrative control and analytics.

Limitation of Liability

response.Simple. and our directors, officers, agents, employees, subsidiaries and affiliates will not be liable, and you agree to indemnify and hold harmless response.Simple. for any actions, claims, losses, damages, liabilities and expenses including legal fees which arise from your use of the Site.

Notwithstanding any damages that you might incur, the entire liability of response.Simple. and any of its suppliers under any provision of this Terms and Conditions of Service and your exclusive remedy for all the foregoing shall be limited to the amount actually paid by you through the Site or One Hundred Canadian Dollars ($100.00 CDN) in the case where you have not made a purchase through the Site.

Privacy on Third Party Websites and Services

Your use of response.Simple. is subject to the response.Simple. Privacy . Please review our privacy policy, which also governs the Site and informs users of our data collection practices.

You further acknowledge and agree that response.Simple. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

Scope of Legal Information

response.Simple. is an educational, do it yourself (DIY) product, response.Simple can not provide any type of legal advice. response.Simple. can provided limited, legal information about whether to and how to respond to a demand letter based on the information you provide. You will still be required to represent yourself in your legal case. response.Simple. cannot represent you and you agree to directly or indirectly state or imply that response.Simple is representing you. response.Simple. will not assume any liability regarding the outcome of your legal case. response.Simple. will decline to provide you with advice, strategy selection or tactics. response.Simple. may also decline to provide you with information if your legal problems are too complicated; are outside the scope of the Site or for any other reason which response.Simple. may determine in its sole discretion. Each person’s situation is unique and when in doubt, or if you have questions, you should contact an attorney in your area.

Severability

If at any time any of the provisions set forth in these Terms and Conditions of Service are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions of Service. All other provisions will not be affected by this removal and the rest of these Terms and Conditions of Service will still be considered valid.

Termination of Content and License

You agree that response.Simple., in its sole discretion, may terminate your use of the Site or use of any other response.Simple. service, and remove and discard any Content within the Site, for any reason, including, without limitation if response.Simple. believes that you have violated or acted inconsistently with the letter or spirit of the Terms of Service. response.Simple. may in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that response.Simple. may immediately deactivate, modify or delete your content and/or bar any further access to such files or the Site. Further, you agree that response.Simple. shall not be liable to you or any third-party for any termination of your account.
