We have created an online legal portal to provide visitors with a general understanding of the law and to provide an automated and manually reviewed legally software solution to individuals who choose to prepare their own legal documents.

Please read these terms and conditions of service carefully before using our service as these terms and conditions of service (the “Terms and Conditions of Service”) govern the use of response.Simple.com (the “Site”). By using this Site, you indicate that you have read and understood the Terms and Conditions of Service and agree to abide by them at all times.

By submitting information to us, whether under Individual or Enterprise licensing, response.Simple. is granted a perpetual royalty free, irrevocable worldwide, non-exclusive license to use, copy, modify, display, upload, distribute, store and disclosure such information in any matter we deem fit, on a confidential basis. This may include the operation and improvement of our services and for the creation of new products.

In the event of any ambiguity or conflict between translations, the English version is authoritative and controls.
  15. By using response.Simple. you consent to affix your electronic signature where required to file your documents. You understand that you may withdraw your consent, provided your documents have not already been filed.
  16. You acknowledge that response.Simple at its sole discretion, may offer SMS/text message-based programs.

Availability and Access

We will use reasonable means to ensure that the Site is available 24 hours a day, 7 days a week. There will be times when the Site is interrupted for maintenance, upgrades and repairs or as a result of telecommunications and equipment failure that are beyond our control. We will take steps to minimize such disruption where it is within our control. You agree that response.Simple will not be liable to you for any modification, suspension, discontinuance, or lack of access and/or availability of the Site.

The most current version of the Terms will supersede all previous versions. response.Simple has no obligation to bring any amendment to your attention in order for the amendment to be effective. Disputes Resolution

You must first present any claim or dispute to us by contacting our customer service and allowing response.Simple. an opportunity to resolve the dispute. You may request confidential, binding arbitration if your claim or dispute cannot be resolved within 60 days. Unless mutually agreed upon by you and response.Simple., the place of arbitration will be within Calgary, Alberta, Canada and conducted in English. The arbitration of any dispute or claim shall be conducted in accordance with the ADR Institute of Canada, Inc. (http://www.adrcanada.ca/).

All administrative fees and expenses of an arbitration will be divided equally between you and response.Simple. In all arbitrations, each party will bear the expense of its own counsel, experts, witnesses, preparation and presentation of evidence at the arbitration.

If for any reason this clause is deemed inapplicable or invalid, you and response.Simple. both waive, to the fullest extent allowed by law, any claims to recover punitive or exemplary damages and any right to pursue any claims on a class or consolidated basis or in a representative capacity.

Email Communication and Referrals

By signing up for response.Simple, users agree to receive email communications from us and affiliated partners. These communications may include updates about our services, promotional offers, and referral requests. We reserve the right to send referral emails to users, and users may opt-out of such communications at any time by following the unsubscribe instructions included in the emails.

Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada. All legal proceedings respecting the Agreement must be brought in such courts, to whose jurisdiction you irrevocably attorn. response.Simple. may commence legal proceedings in other jurisdictions to enforce a judgment, order or decree originally granted by a court.

Intellectual Property

All content published and made available on our Site is the property of response.Simple. and the Site’s creators. This includes, but is not limited to, images, audio files, video files, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

All rights not expressly granted to users in these Terms of Service are reserved by response.Simple and its licensors. Users acknowledge that they do not acquire any ownership rights by using the Service or by accessing any content posted on the Service.

Licensing

Individual Licensing

Individual licensing grants a single user the right to access and use the response.Simple platform. This license is non-transferable and is intended to be for personal use only. The individual user may generate documents and content using the Site for their own personal, non-commercial use.

Enterprise Licensing

Enterprise licensing provides access to multiple users within an organization. This license allows for the collective use of the Site by the organization’s employees and authorized agents. The enterprise license includes features and functionalities designed to support business operations and may include additional administrative control and analytics.

Limitation of Liability

response.Simple. and our directors, officers, agents, employees, subsidiaries and affiliates will not be liable, and you agree to indemnify and hold harmless response.Simple. for any actions, claims, losses, damages, liabilities and expenses including legal fees which arise from your use of the Site.

Notwithstanding any damages that you might incur, the entire liability of response.Simple. and any of its suppliers under any provision of this Terms and Conditions of Service and your exclusive remedy for all the foregoing shall be limited to the amount actually paid by you through the Site or One Hundred Canadian Dollars ($100.00 CDN) in the case where you have not made a purchase through the Site.

Severability

If at any time any of the provisions set forth in these Terms and Conditions of Service are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions of Service.
